1. GRANT OF LICENSE
1.1. The Licensor grants the Licensee a non-exclusive, non-transferable license to use the educational materials, including but not limited to textbooks, workbooks, and teacher guides (hereinafter referred to as the "Licensed Materials"), for in-class teaching purposes only.
1.2. The Licensee is permitted to use the Licensed Materials within the Sydney, Australia region for a period of one school term (hereinafter referred to as the "License Term").
1.3. The Licensee may use the Licensed Materials for multiple classes within the school, provided that such use is limited to in-class teaching and does not extend to online learning, distribution, or commercial purposes.
2. LICENSE FEES AND PAYMENT
2.1. In consideration for the license granted herein, the Licensee agrees to pay the Licensor the initial one year licensing fee of (contact for information). Thereafter, ongoing annual licensing fee is to be paid.
2.2. The License Fee shall be paid in full within 14 days of the execution of an Agreement.
2.3. Failure to pay the License Fee within the stipulated time will result in the immediate termination of an Agreement.
3. INTELLECTUAL PROPERTY RIGHTS
3.1. The Licensor retains all ownership rights, title, and interest in and to the Licensed Materials, including all intellectual property rights (e.g., copyrights, trademarks, and patents).
3.2. The Licensee agrees not to reproduce, distribute, modify, or create derivative works of the Licensed Materials without the prior written consent of the Licensor.
3.3. The Licensee shall not remove or alter any copyright notices, watermarks, or other proprietary markings on the Licensed Materials.
4. PERMITTED USE
4.1. The Licensed Materials may only be used for in-class teaching purposes within the Licensee’s school.
4.2. The Licensee shall not:
a. Share the Licensed Materials with third parties, including other schools or individuals outside the Licensee’s school.
b. Use the Licensed Materials for commercial purposes, including selling or licensing them to others.
c. Upload the Licensed Materials to any online platform or digital repository.
5. TERM AND TERMINATION
5.1. This Agreement shall commence on the date of execution and remain in effect for one school term, unless terminated earlier in accordance with this Agreement.
5.2. The Licensor may terminate this Agreement immediately if the Licensee breaches any of its terms, including but not limited to:
a. Failure to pay the License Fee.
b. Unauthorised use, reproduction, or distribution of the Licensed Materials.
5.3. Upon termination, the Licensee shall immediately cease all use of the Licensed Materials and return or destroy all copies in its possession.
6. WARRANTIES AND LIMITATIONS
6.1. The Licensor warrants that it owns the Licensed Materials and has the right to grant this license.
6.2. The Licensed Materials are provided "as is," and the Licensor makes no warranties, express or implied, regarding their suitability, accuracy, or completeness.
6.3. The Licensor shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Licensed Materials.
7. INDEMNIFICATION
7.1. The Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, or losses arising from the Licensee’s misuse of the Licensed Materials or breach of this Agreement.
8. GOVERNING LAW
8.1. This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia.
8.2. Any disputes arising under this Agreement shall be resolved through mediation in Sydney, Australia. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of New South Wales.
